The Firm has extensive experience in structuring, negotiating, and documenting a variety of complex and sophisticated transactions involving the leasing, sale, acquisition and financing of real property. Our real estate practice group represents institutional and publicly-traded landlords, REITS and asset managers, as well as privately-held concerns in connection with their leasing of owned and controlled major commercial real estate properties including office buildings, shopping centers, retail stores and industrial properties. We also represent commercial tenants, from multinational to privately-held, in connection with their leasing and occupancy of retail, office and industrial premises.

DEALER LAW

The Firm has extensive experience in franchise issues and automotive litigation including termination disputes, government and regulatory matters, compliance, investigations, financing disputes, Lemon Laws, contractual disputes and general litigation involving vendors, partnerships, landlords, dealer arbitrations, claims of dealer fraud and consumer fraud, as well as consumer issues. The firm also has extensive experience and has represented major East Coast automotive franchises on sale and purchase agreements, real estate transactions, financing issues, corporate and partnership agreements, and general franchise issues.

CORPORATE LAW

The Firm serves as counsel to issuers and underwriters in both private placements and public offerings of equity and debt securities under the Securities Act of 1933. We also act as special counsel to corporations, controlling shareholders and employee groups in matters concerning mergers and acquisitions. The Firm regularly advises clients in connection with contractual matters, corporate governance, partnerships, strategic alliances, joint ventures, executive compensation agreements, stock option plans and other matters of business and commerce.

Commercial Litigation

The experience of the litigation department of the Firm is extremely broad, from straightforward to complex disputes involving both privately-held and publicly traded businesses, all range of contracts and commercial matters, real estate, construction, consumer credit, banking, employment, executive compensation and matters involving professional malpractice. Our litigators have a well-established record of success before both trial and appellate courts at the local, state and federal levels, as well as before the various administrative agencies and arbitration forums.

PERSONAL INJURY
